Welcome to BidFlow. These Terms of Service ("Terms") govern your access to and use of the BidFlow website, applications, tools, calculators, templates, and all related services (collectively, the "Service") operated by Visidex ("Company," "we," "our," or "us"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Definitions

  • "Service" refers to the BidFlow website at bidflow.visidex.com, including all calculators, templates, articles, glossary terms, and any related tools or features.
  • "User," "you," or "your" refers to any individual or entity that accesses or uses the Service.
  • "Content" refers to all text, data, graphics, images, calculators, templates, articles, and other materials available through the Service.
  • "User Content" refers to any data, information, or materials you submit, input, or upload to the Service.
  • "Subscription" refers to any paid plan or tier that provides access to premium features of the Service.

2. Acceptance of Terms

By accessing or using the Service in any manner, including but not limited to visiting the website, using a calculator, downloading a template, or creating an account, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.

If you are using the Service on behalf of a company, organization, or other entity, you represent and warrant that you have the authority to bind that entity to these Terms, and "you" and "your" will refer to that entity.

3. Description of Service

BidFlow provides construction estimating tools, resources, and project management capabilities designed for contractors, builders, subcontractors, and project managers. The Service includes:

  • Construction Calculators: Free estimating tools for materials, costs, and project quantities (concrete, drywall, brick, fencing, insulation, demolition, and more)
  • Templates: Downloadable construction document templates (submittal logs, safety checklists, RFPs, and more)
  • Articles & Guides: Educational content on construction estimating, budgeting, and project management
  • Glossary: Comprehensive construction terminology reference
  • Project Management Tools: Features for organizing project details, timelines, communications, and documentation (available with paid subscriptions)

4. Account Registration

Certain features of the Service may require you to create an account. When creating an account, you agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information to keep it accurate and complete
  • Maintain the security and confidentiality of your login credentials
  • Accept responsibility for all activities that occur under your account
  • Notify us immediately of any unauthorized use of your account

You must be at least 18 years of age to create an account and use the Service. We reserve the right to suspend or terminate accounts that violate these Terms.

5. Free Tools and Content

BidFlow offers certain tools, calculators, templates, articles, and educational resources at no charge. These free resources are provided "as is" and may be modified, limited, or discontinued at any time without notice. Free access does not create any obligation on our part to continue providing such resources.

6. Subscriptions and Payments

Premium features of the Service are available through paid subscription plans. By subscribing to a paid plan, you agree to the following:

  • Billing: Subscription fees are billed in advance on a recurring basis (monthly or annually, depending on the plan selected). You authorize us to charge your designated payment method for all applicable fees.
  • Price Changes: We may change subscription pricing at any time. Price changes will take effect at the start of your next billing cycle, and we will provide you with reasonable notice of any price increases.
  • Cancellation: You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. No refunds will be issued for partial billing periods.
  • Refund Policy: Subscription fees are generally non-refundable. However, if you experience a material defect in the Service within the first 14 days of your initial subscription, you may request a refund by contacting us at hello@visidex.com.
  • Failed Payments: If a payment fails, we may suspend or restrict access to premium features until the payment is resolved. We may retry the charge or request updated payment information.

7. Disclaimer of Accuracy

The calculations, estimates, cost projections, and other information provided by BidFlow are for general informational and reference purposes only. They are not a substitute for professional judgment, certified estimates, or licensed engineering or architectural advice. While we strive to provide accurate and up-to-date information:

  • All calculations are estimates and should not be relied upon as exact figures for bidding, contracts, or purchasing decisions
  • Material costs, labor rates, permit fees, and other values vary significantly by location, time, supplier, and market conditions
  • Users should always verify calculations with qualified professionals, licensed contractors, or certified estimators before making financial commitments
  • BidFlow is not responsible for any decisions, bids, purchases, or project outcomes based on information provided by our tools
  • Template documents are provided as starting points and must be reviewed and customized by qualified professionals before use in actual projects
  • Construction codes, regulations, and standards vary by jurisdiction and change over time; always consult local authorities

8. User Responsibilities

When using BidFlow, you agree to:

  • Provide accurate and complete information when using our tools and services
  • Use the Service only for lawful purposes and in compliance with all applicable laws, regulations, and industry standards
  • Not attempt to interfere with, disrupt, or compromise the integrity or security of the Service
  • Not use automated systems, bots, scrapers, or similar tools to access or extract data from the Service without our prior written consent
  • Not reproduce, duplicate, copy, sell, resell, or exploit any portion of the Service without our express written permission
  • Not reverse engineer, decompile, or disassemble any aspect of the Service
  • Not upload or transmit viruses, malware, or any other malicious code
  • Not use the Service to compete directly with BidFlow or to build a similar or competing product
  • Not impersonate any person or entity or misrepresent your affiliation with any person or entity

9. Intellectual Property

All content, features, and functionality of the Service, including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, data compilations, software, calculator algorithms, and the design, selection, and arrangement thereof, are the exclusive property of Visidex or its licensors and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

The BidFlow name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Visidex. You may not use such marks without our prior written permission.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal or internal business purposes, subject to these Terms.

10. User Content

You retain ownership of any data or content you input into the Service ("User Content"). By submitting User Content, you grant us a limited license to process, store, and display such content solely for the purpose of providing and improving the Service.

You represent and warrant that you own or have the necessary rights to submit your User Content and that it does not violate any third party's rights or any applicable law.

11. Third-Party Links and Services

The Service may contain links to third-party websites, services, or resources that are not owned or controlled by us. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You acknowledge and agree that we are not responsible or liable for any damage or loss caused by or in connection with the use of any such content, goods, or services available through any such websites or resources.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL BIDFLOW, VISIDEX, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, SUCCESSORS, OR ASSIGNS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • Errors, inaccuracies, or omissions in calculations, estimates, or content
  • Loss of profits, revenue, data, goodwill, or anticipated savings
  • Business interruption or project delays
  • Cost of procurement of substitute goods or services
  • Personal injury or property damage related to your use of the Service
  • Any unauthorized access to or alteration of your data or transmissions
  • Any other commercial, financial, or consequential damages or losses

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE EXCEED THE AMOUNT YOU HAVE PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

13. Indemnification

You agree to indemnify, defend, and hold harmless Visidex, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorney's fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party right, including any intellectual property, privacy, or proprietary right; or (d) any claim that your User Content caused damage to a third party.

14. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. WE SPECIFICALLY DISCLAIM ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

15. Termination

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Service will immediately cease. Provisions of these Terms that by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnification, and limitations of liability.

16. Changes to Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will update the "Last updated" date at the top of this page and, where appropriate, notify you via email or through a prominent notice on the Service. Your continued use of the Service after any changes constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.

17. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Tennessee, United States, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Shelby County, Tennessee, and you consent to the personal jurisdiction of such courts.

18. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable.

19. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Visidex regarding the Service and supersede all prior agreements, understandings, negotiations, and discussions, whether oral or written.

20. Waiver

The failure of Visidex to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. A waiver of any default shall not constitute a waiver of any subsequent default.

21. Assignment

You may not assign or transfer these Terms, by operation of law or otherwise, without our prior written consent. We may assign these Terms in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of our assets without restriction.

23. Your data preferences

When you use a BidFlow calculator, we may store the result anonymously to improve regional accuracy for other users. We collect:

  • The first three digits of your zip code (never your full zip, name, or address)
  • The project category and the calculator's result
  • A one-way hashed identifier so we can rate-limit submissions

We do not collect submissions from users in the EU, UK, Switzerland, Iceland, or Norway. If you are in California, this section serves as your CCPA opt-out mechanism.
